1 · SERVICE & PARTIES
Glimit AB provides the EURtracker software service.
The customer is the organisation identified in the applicable order or agreement. An individual creating or administering an account on behalf of a customer confirms that they are authorised to act for that organisation.
EURtracker supports EU project coordination, structured progress capture, reporting preparation, traceability and related project-administration workflows. Formal programme submission, authority decisions and other external systems remain outside the service unless expressly integrated.
2 · ACCOUNTS
Customers control their users and access.
- Customers are responsible for inviting appropriate users and maintaining accurate roles and permissions.
- Users must keep credentials confidential and use the service only through their own authorised account.
- Customers should promptly remove access when a user no longer needs it.
- Suspected account compromise should be reported without undue delay to info@eurtracker.com.
3 · SUBSCRIPTION & FEES
Commercial terms come from the order or agreement.
Subscription price, billing cycle, included scope, VAT, payment terms, renewal and any partner or usage-based charges are those shown in the applicable order, checkout or signed agreement. Unless expressly stated otherwise, fees are exclusive of applicable taxes.
A customer must pay undisputed amounts when due. Glimit AB may suspend access for material non-payment after reasonable notice and an opportunity to remedy, unless immediate suspension is required by law or security risk.
4 · CUSTOMER CONTENT
The customer keeps ownership of project content.
As between the parties, the customer retains its rights in information, documents, project updates and other content submitted to EURtracker. The customer grants Glimit AB the limited right to host, process, reproduce and technically transform that content only as needed to provide, secure, maintain and support the service and as otherwise instructed by the customer.
The customer is responsible for having the rights and lawful basis needed to upload and use its content in EURtracker.
5 · ACCEPTABLE USE
EURtracker must be used lawfully and responsibly.
- No unlawful, fraudulent, abusive or rights-infringing use.
- No attempts to bypass authentication, access another customer's workspace or interfere with service security.
- No malware, destructive code, credential harvesting or unauthorised security testing.
- No use intended to overload, reverse engineer or extract protected source code except where mandatory law expressly permits it.
- Special-category or highly sensitive personal data should not be entered unless the customer has assessed necessity, lawful basis and appropriate safeguards.
6 · AI-ASSISTED FEATURES
AI assists drafting; people remain responsible for decisions and submissions.
EURtracker may use third-party AI services to help synthesise reviewed project material or draft reporting text when a user requests that function. AI output may be incomplete or inaccurate and must be reviewed by an authorised person before it is relied upon or submitted to a programme authority.
EURtracker is not intended to make legally binding, eligibility, funding, employment or other significant decisions about individuals without human review. The customer remains responsible for its official reports, programme compliance and decisions made using service output.
7 · CONFIDENTIALITY
Non-public information should remain protected.
Each party must protect the other party's confidential information using reasonable care and use it only for the service relationship. This does not apply to information that is public through no breach, already lawfully known, independently developed or lawfully received from another source.
Required disclosure by law or authority is permitted, subject to notice where legally allowed.
8 · DATA PROTECTION
GDPR roles depend on the processing context.
For customer project personal data processed on the customer's behalf, the customer generally acts as controller and Glimit AB as processor. That processing is governed by the EURtracker Data Processing Agreement where applicable.
Glimit AB may separately act as controller for limited account, security, billing, legal and customer-relationship data as described in the Privacy Notice.
9 · SERVICE OPERATION
No separate SLA unless one is agreed.
Glimit AB will use commercially reasonable efforts to operate and maintain EURtracker. Planned maintenance, security work, provider incidents and events outside reasonable control may affect availability. Any guaranteed uptime, service credits, response times or dedicated support commitments apply only if stated in a separate agreement.
10 · THIRD-PARTY SERVICES
Core infrastructure is provided by specialist suppliers.
EURtracker relies on service providers for functions such as hosting, database/authentication and requested AI processing. Current core providers and relevant processing information are described in the Security & Compliance documentation. Glimit AB remains responsible for its own contractual obligations to the customer.
11 · INTELLECTUAL PROPERTY
EURtracker remains Glimit AB intellectual property.
Glimit AB and its licensors retain all rights in EURtracker, including software, design, documentation, trademarks, workflows and improvements, excluding customer content. The customer receives a limited, non-exclusive, non-transferable right to use the service during the agreed subscription for its internal organisational purposes.
12 · SUSPENSION & TERMINATION
Material breaches can lead to restricted access.
Either party may terminate as stated in the applicable order or agreement. A material breach that is not remedied within a reasonable cure period after notice may also justify termination. Glimit AB may suspend access sooner where necessary to protect security, prevent unlawful use or comply with law.
On termination, customer data is returned or deleted in accordance with the DPA, customer instructions, applicable law and provider backup lifecycles.
13 · WARRANTIES
The service supports project work but does not replace professional judgement.
EURtracker is provided as a software service for project administration and reporting support. Glimit AB does not warrant that generated drafts will satisfy every programme, audit, procurement or legal requirement without customer review. Except for warranties expressly stated in a signed agreement and to the extent permitted by law, no additional implied warranties are given.
14 · LIABILITY
Liability is proportionate to the subscription relationship.
To the extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill or anticipated savings arising from the service. Unless a signed agreement states another cap, Glimit AB's aggregate liability arising from EURtracker is limited to the fees paid or payable by the customer for the service during the twelve months preceding the event giving rise to the claim.
Limitations do not apply where liability cannot legally be limited, including liability arising from fraud or wilful misconduct.
15 · CHANGES
Material changes will not be hidden.
Glimit AB may update these Terms to reflect service, legal, security or commercial changes. Material changes affecting an active paid subscription should be communicated through an appropriate customer channel before they take effect, unless immediate change is required for law or security.
16 · GOVERNING LAW
Swedish law governs the service relationship.
Unless the parties agree otherwise in writing, these Terms and the EURtracker service relationship are governed by Swedish law without regard to conflict-of-law rules. Disputes shall be determined by the Swedish courts, with the district court competent for Glimit AB's registered office as first instance.
CONTACT & ORDER OF PRECEDENCE
Customer-specific documents can override these standard Terms.
Questions about these Terms, contracts or the service can be sent to info@eurtracker.com. In case of conflict, the order of precedence is: a specifically signed customer agreement or order, its agreed annexes, the Data Processing Agreement for personal-data processing, and then these Terms.
